اتفاقية وشروط استخدام البائع

من خلال التسجيل في متجر فليك مارت ، أنت الآن عضو في متجر فليك مارت للتجارة الإلكترونية .، وقد وافقت على جميع الشروط والأحكام الواردة أدناه في الاتفاقية التالية:
الغرض من هذه الاتفاقية هو إتاحة الفرصة للبائعين المؤهلين لبيع المنتجات. من خلال متجرفليك مارت للتجارة الإلكترونية. تغطي هذه الاتفاقية جميع عمليات الشراء وبيع المنتجات بين متجر فليك مارت والموردين ، بما في ذلك أي اتفاقيات شراء وبيع وأوامر الشراء والاستلام والتسليم والشحن والتوريد
التجارة الإلكترونية: تعني التجارة الإلكترونية المعاملات أو المبيعات بين فليك مارت وعملائها التي تتم عبر الإنترنت ، أو مواقع فليك مارت. ، أو أي نظام متصل بالإنترنت أو شبكة كمبيوتر ، وأي مواد ذات صلة على الإنترنت أو البريد الإلكتروني أو موقع الويب و حملات التسويق. أو الإعلانات الإلكترونية الأخرى
يبدأ سريان هذه الاتفاقية اعتبارا من تاريخ التسجيل بالمتجر وتستمر طالما استمر البائع بعرض وبيع منتجاته على متجر فليك مارت للتجارة الالكترونية
معلومات البائع: يوافق البائع. على تزويد متجرفليك مارت بجميع المعلومات المطلوبة لتسهيل شراء منتجاته وتحديثها بشكل. دوري ( السجل التجاري – شهادة الضريبة – الحساب البنكي – عنوان العميل وأرقام الاتصال والايميل- ..... ) الكميات المتوفرة وأسعار البيع ومدة التسليم
بموجب هذا الاتفاق ، سيكون للبائع متجرا خاصا به في متجر فليك مارت لعرض جميع منتجاته
يوافق البائع على أنه لن يقدم اسمه أو تفاصيل الاتصال بأي طريقة كانت في .متجر فليك مارت الخاص به أو يحاول الاتصال بالعملاء مباشرةً
يوافق البائع على أنه سيبيع منتجاته بموجب سياسة الضمان والارجاع التي يقوم بعرضها في متجر فليك مارت بها
يوافق البائع على أن متجر فليك مارت سوف يحصل على نسبة مئوية من كل فاتورة و سيتم تحديد النسبة. المئوية وفقًا لفئة المنتج
أهلية البائع والضمانات
يتعهد البائع بما يلي
أنه يملك المؤهلات الفنية والقانونية لبيع و عرض منتجاته عبر الإنترنت كجزء من أعماله للتجارة الإلكترونية على متجرفليك مارت
جميع المعلومات والبيانات والصورللمنتجات التي يقدمها البائع إلى متجر فليك مارت كجزء من أعمال التجارة الالكترونية يجب أن تتوافق مع ما يلي
جميع القوانين المعمول بها , ب – دقيقة ومطابقة للمنتج المعروض ج – مصرح له باستخدامها
أنه قد حصل على جميع التصاريح والأذونات اللازمة والحقوق لاستخدام وعرض صور ومعلومات المنتج وبياناته على متجر فليك مارت كجزء من التجارة الالكترونية
أن تكون سياسة البائع السعرية وسياسة الخصم موحدة بين متجر فليك مارت وبين منتجاته المعروضة في منافذ بيع التجزئة أو عن طريق مندوبين مبيعاته أو في متاجر الكترونية مشابهة
يوافق البائع على منح متجر فليك مارت والشركات التابعة له الحق في عرض جميع معلومات المنتجات. والبيانات والصور الخاصة بها لاستعمالها في أعمال التجارة الالكترونية ويتضمن ذلك عرضها على الموقع واستعمالها في البريد الالكتروني .وحملات الدعاية والتسويق عبر الإنترنت
يتعهد البائع بأن تكون المعلومات صحيحية ودقيقة ويتعهد بإعلام متجر فليك مارت في حال كانت المعلومات ناقصة. أو غير صحيحية ويتعهد بمراجعتها وتصحيحها بشكل دوري ومستمر
يتعهد متجر فليك مارت بعدم القيام بأي تعديل لمواصفات وصور المنتجات المعروضة من قبل العميل إلا في حالة وجود خطأ فني فيها أو في حال عدم موافقتها لشروط عرض المنتجات في متجر فليك مارت ويتم ابلاغ البائع بذلك
الملكية الفكرية: وافق اليائع على أن جميع التصماميم والنماذج والعلامات التجارية والأسرار التجارية وحقوق النشر. وحقوق الملكية الفكرية الموجودة على متجر فليك مارت تعود ملكيتها الحصرية إلى الشركة المالكة للمتجرولمتجر فليك مارت
التعويضات: وافق البائع على تعويض والدفاع عن متجر فليك مارت والشركات التابعة له ضد أي شكاوى أو دعاوي قضائية. أو عقوبات أو دعاوي مدنية أو والتكاليف ، والمسؤوليات ، والأضرار ، والنفقات (بما في ذلك أتعاب المحاماة) التي تم تكبدها أو يتم تكبدها ، والتي قد يتم إجراؤها أو رفعها ضد متجر فليك مارت أو الشركات التابعة له من قبل أي شخص أو شركة أو حكومة أو وكالة حكومية. أو فئة أو أي كيان آخر ، نشأ أو زعم أنه نشأ (أ) من وفاة أو إصابة أي شخص أو تلف أي ممتلكات نتجت أو زعم أنها نجمت عن أي أفعال أو سهو بواسطة البائع أو موظفيه أو وكلائه وأي شخص أو كيان يتصرف أو يزعم أنه تصرف نيابة عن البائع أو عن المنتجات أو استخدامها ؛ (ب) من الفشل أو الفشل المزعوم من البائع أو المنتجات في الامتثال الكامل لأية ضمانات أو ضمانات أو إقرارات من البائع ؛ (ج) من أي محتوى أو معلومات مقدمة من البائع لمتجر فليك مارت (د) بسبب أي انتهاك لأي براءة أو تصميم أو اسم تجاري. أو علامة تجارية أو حقوق نشر أو أسرار تجارية أو أي حق أو حق آخر لأي طرف ثالث ؛ و (هـ) من فشل البائع في الامتثال لأي قانون معمول به. تطبق هذه الاتفاقية للتعويض ، والدفاع ، وإحالة الضررسواء كانت المطالبة أو الخسارة قد زُعم أنها كانت ناجمة جزئيًا عن إهمال أو خطأ من متجر فليك مارت أو أحد الشركات التابعة له
سرية المعلومات: خلال استخدام البائع لخدمات متجر فليك مارت يمكن أن يستلم معلومات خاصة بخدماتنا ( بما فيها معلومات التحويلات البنكية) وهي معلومات غير معروفة بالنسبة لعامة الناس ( معلومات سرية) يوافق البائع على ما يلي:(أ) جميع المعلومات السرية ملكيتها حصرية لمتجر فليك مارت والشركة المالكة له. (ب) أن يستعمل هذه المعلومات فقط للأمور الضرورية الخاصة باشتراكه بخدمات متجر فليك مارت.(ج) أن لا يمرر أو يسرب هذه المعلومات لأي طرف ثالث (د) أن يتخذ جميع الإجراءات الوقائية لحماية المعلومات السرية من أي استخدام أو إفشاء غير مسموح به صراحة في شروط الموقع هذه. لا يجوز للبائع إصدار أي بيان صحفي أو إصدار أي بيان عام متعلق بخدماتنا ، أو استخدام اسمنا أو علاماتنا التجارية أو شعارنا بأي شكل من الأشكال (بما في ذلك المواد الترويجية) دون إذن كتابي مسبق ، أو تحريف أو تزييف العلاقة مع متجر فليك مارت بأي طريقة
الإفصاح عن المعلومات: وافق البائع على أن لمتجر فليك مارت الحق بالابلاغ. عن أي نشاط يخرق القوانين المعمول بها إلى الجهات الحكومية المختصة .أو الجهات المتخصصة بحماية البيانات وذلك للتعاون معها لحماية متجر فليك مارت والزبائن المتعاملين معه أو لضمان سلامة أعمال ونظام تشغيل متجر فليك مارت , ممكن لمتجر فليك مارت الدخول وفتح أي معلومة تعتبر ضرورية ومناسبة بما في ذلك وليس على سبيل الحصر. حساب البائع معلومات الاتصال عنوان الأي بي وبيانات الدخول إلى متجر البائع وتاريخ استخدام الموقع الخاص بالبائع. والمعلومات المرسلة من قبل البائع
على البائع كما على متجر فليك مارت الالتزام بحماية معلومات العميل. بحسب سياسة الخصوصية والقوانين المعمول بها
استقلالية الأطراف: وافق البائع على أنه ومتجر فليك مارت طرفين متعاقدين مستقلين تماما ولا يوجد في متجر فليك مارت أي بند يؤدي إلى إحداث أي نوع من أنواع الشراكة أومشروع مشترك أو وكالة أو جهة امتياز أو مندوب مبيعات. لن يكون لديك أي سلطة لتقديم أو قبول أي عروض أو تقديم عروض نيابة عنا, لن تحدث شروط الموقع أي علاقة حصرية بينك وبيننا
ليس هناك ما يُعبر عنه أو مذكور في شروط الموقع هذه أو يُقصد به أو سيتم تفسيره على أنه يمنح لأي شخص بخلاف أطراف الموقع أي حق قانوني أو عادل أو تعويض أو مطالبة بموجب شروط الموقع هذه أو فيما يتعلق بها, إن شروط الموقع هذه وجميع الإقرارات والضمانات والعهود والشروط والأحكام الواردة في شروط الموقع هذه تهدف إلى أن تكون وستكون من أجل المنفعة الحصرية لمتجر فليك مارت وانت كبائع والعملاء
يوافق البائع على أنه لن تصدر أي بيان ، سواء كان ذلك على موقعه أو غير ذلك ، من شأنه أن يتعارض مع أي شيء في هذه الفقرة
يخضع متجر فليك مارت والشركة المالكة له لقوانين المملكة الاردنية الهاشمية وكذلك هذه الاتفاقية وأي خلافات تنشأ عنها
اتفق البائع ومتجر فليك مارت كشرط مسبق لحل أي خلافات ناتجة عن هذه الاتفاقية أن يرفع الخلاف إلى محكم خبير يتم اختياره من قبل الطرفين في وقت ومكان متفق عليه ويتم تقاسم أتعاب الخبير بين الطرفين مناصفة و في حال لم يحل الخلاف يتم رفعه إلى المحكمة المختصة في المملكة الاردنية الهاشمية
شمولية الاتفاق: تكون هذه الاتفاقية بمثابة اتفاقية شاملة بين الطرفين بخصوص بيع وعرض المنتجات في متجرفليك مارت وتحل محل أي وجميع الاتفاقات أو التفاهمات أو المفاوضات أو العروض أو المقترحات السابقة سواء كانت مكتوبة أو شفهية أو غير ذلك. لم يعتمد أي طرف على أي بيانات أو بيانات أو مراسلات أخرى غير واردة في هذه الاتفاقية
ولا يؤخذ بعين الاعتبار أي مراسلات أو إفادات أو اتصالات لم ترد في هذه الاتفاقية
Seller's Agreement and terms of use
Dear seller
By registering at the fleek Mart e-commerce store, you are now a member of the fleek Mart e-commerce store., And you have agreed to all the terms and conditions below in the following agreement:
1. the purpose of this agreement is to provide qualified sellers with the opportunity to sell products. Through the fleek Mart e-commerce store. 4. seller information: the seller agrees. To provide fleek Mart with all the required information to facilitate the purchase of its products and update them properly. Periodically (commercial registration – tax certificate – bank account – customer address, contact numbers and email- ..... ) Available quantities, selling prices and delivery time.
5. under this agreement, the seller will have his own store in the fleek Mart e-commerce store to display all his products.
6. the seller agrees that he will not provide his name or contact details in any way whatsoever. His own fleek Mart e-commerce store or tries to contact customers directly.
7-the seller agrees that he will sell his products under the warranty and return policy that he displays at the fleek Mart e-commerce store in it.
8-the seller agrees that the fleek Mart e-commerce store will receive a percentage of each invoice and the percentage will be determined. Percentage according to the product category.
9. seller eligibility and guarantees:
The seller undertakes the following:
1-he has the technical and legal qualifications to sell and display his products online as part of his e-commerce business on fleek Mart e-commerce store.
2-All information, data and images of the products provided by the seller to the fleek Mart e-commerce store as part of the e-commerce business must comply with the following:
A-all applicable laws, B – accurate and identical to the offered product C-authorized to use.
3-he has obtained all the necessary permits, permissions and rights to use and display images, product information and data on the fleek Mart e-commerce store as part of e-commerce.
4-the seller's price policy and discount policy should be unified between the fleek Mart e-commerce store and its products offered at retail outlets or through its sales representatives or in similar electronic stores.
5-the seller agrees to grant the fleek Mart e-commerce store and its affiliates the right to display all product information. And its data and images for use in e-commerce business, including their display on the site and use in e-mail. And online advertising and marketing campaigns.
The seller undertakes that the information will be correct and accurate and undertakes to inform the fleek Mart e-commerce store if the information is incomplete. Or incorrect and undertakes to review and correct them periodically and continuously.
The fleek Mart e-commerce store undertakes not to make any modification to the specifications and images of the products displayed by the customer, unless there is a technical error in them or if they do not agree with the terms of displaying the products in the fleek Mart e-commerce store, and the seller is notified of this.
Intellectual property: the seller agreed that all designs, models, trademarks, trade secrets and copyrights. The intellectual property rights on the fleek Mart e-commerce store are the exclusive property of the company that owns the fleek Mart e-commerce store.
6-damages: the seller has agreed to indemnify and defend the fleek Mart e-commerce store and its affiliates against any complaints or lawsuits. Or penalties, civil lawsuits, costs, liabilities, damages, expenses (including Attorney's fees) that have been incurred or are being incurred, which may be made or filed against fleek Mart or its affiliates by any person, company, government or government agency. This agreement applies for indemnification, defense, and assignment of damages, whether the claim or loss was alleged to have been caused in part by the negligence or fault of fleek Mart or one of its affiliates.
7-confidentiality of information: during the seller's use of the services of the fleek Mart e-commerce store, he may receive information about our services ( including bank transfer information), which is not known to the general public ( confidential information) the seller agrees to the following:(a) all confidential information is the exclusive property of the fleek Mart e-commerce store and its owner company. (B) to use this information only for the necessary things related to his subscription to the services of the fleek Mart e-commerce store.(C) not to pass or leak this information to any third party (d) to take all preventive measures to protect confidential information from any use or disclosure not expressly permitted in these Site Terms. The seller may not issue any press release or make any public statement related to our services, use our name, trademarks or logo in any way (including promotional materials) without prior written permission, misrepresent or falsify the relationship with the fleek Mart e-commerce store in any way.
8 - disclosure of information: the seller agreed that the fleek Mart e-commerce store has the right to inform. For any activity that violates the applicable laws to the competent government agencies. 9 - independence of the parties: the seller has agreed that he and the fleek Mart e-commerce store are completely independent contracting parties and there is no clause in the fleek Mart e-commerce store that leads to any kind of partnership, joint venture, agency, franchisee or sales representative. You will have no authority to make or accept any offers or make offers on our behalf, the terms of the site will not create any exclusive relationship between you and US.
Nothing expressed or stated in these site terms is intended or will be interpreted as granting to any person other than the site parties any legal or equitable right, compensation or claim under or in connection with these Site Terms, these Site Terms and all representations, warranties, covenants, terms and conditions contained in these site terms are intended to be and will be for the exclusive benefit of fleek Mart e-commerce store and you as a seller and customers.
The seller agrees that he will not make any statement, be it on his site or otherwise, that would contradict anything in this paragraph.
10-the fleek Mart e-commerce store and its owner company are subject to the laws of the Hashemite Kingdom of Jordan, as well as this Agreement and any disputes arising from it.
The seller and fleek Mart have agreed, as a prerequisite for resolving any disputes arising from this agreement, to submit the dispute to an expert arbitrator selected by the parties at an agreed time and place. The expert's fees will be shared equally between the parties. if the dispute is not resolved, it will be submitted to the competent court in the Hashemite Kingdom of Jordan.
11-comprehensiveness of the agreement: this agreement constitutes a comprehensive agreement between the parties regarding the sale and display of products at Fleek Mart and supersedes any and all previous agreements, understandings, negotiations, offers or proposals, whether written, oral or otherwise. Neither party has relied on any other statements, statements or correspondence not contained in this agreement.
Any correspondence, statements or communications not contained in this Agreement shall not be taken into account.
